Please read these Terms of Service ("Terms") carefully before purchasing products or using any software, services, or content provided by Newlander Life Sciences LLC ("Newlander," "we," "us," or "our"). By placing an order or accessing our products and services, you agree to be bound by these Terms.

1. About Newlander Life Sciences

Newlander Life Sciences LLC is an American manufacturer of AI-powered laboratory instruments, including automated colony counters and related software. Our products are designed for use by trained laboratory professionals in regulated and non-regulated environments.

2. Eligibility

By purchasing from Newlander, you confirm that you are at least 18 years of age, have the authority to enter into a binding agreement on behalf of yourself or your organization, and will use our products only for lawful laboratory and research purposes.

3. Products and Orders

3.1 Product Descriptions

We make every effort to accurately describe our instruments and software. Specifications, images, and performance data are provided for informational purposes and are subject to change as we improve our products. Contact us before purchasing if a specific specification is critical to your application.

3.2 Order Acceptance

Submitting an order constitutes an offer to purchase. Newlander reserves the right to accept, decline, or cancel any order at its sole discretion â€” including cases of pricing errors, product unavailability, or suspected fraudulent activity. You will be notified promptly if your order is cancelled, and any payment will be refunded in full.

3.3 Pricing

All prices are listed in U.S. dollars. Prices are subject to change without notice. The price charged is the price in effect at the time your order is confirmed. Sales tax will be applied where required by law.

4. Payment

We accept major credit cards, ACH bank transfer, and purchase orders from qualified institutions. Full payment (or approved credit terms) is required before shipment. For purchase orders, net-30 terms may be available upon credit approval â€” contact sales@newlanderlifesciences.com to apply.

5. Shipping

5.1 Free Shipping

Newlander offers free standard ground shipping on all orders shipped within the contiguous United States.

5.2 Delivery Estimates

Estimated delivery windows are provided in good faith but are not guaranteed. Newlander is not liable for delays caused by carriers, customs, natural events, or other circumstances beyond our control.

5.3 Risk of Loss

Title and risk of loss pass to you upon delivery to the carrier. If your shipment arrives visibly damaged, note the damage with the carrier at the time of delivery and contact us within 3 business days.

5.4 International Orders

International orders may be available on a case-by-case basis. The buyer is responsible for all customs duties, import taxes, and regulatory compliance in the destination country.

6. Returns and Refunds

Newlander Life Sciences offers a 30-day satisfaction guarantee on all products. The 30-day period begins on the date the unit is delivered to the customer's address.

6.1 Eligibility

To be eligible for a refund, the following conditions must be met:

The product must be returned in like-new condition.
The customer is responsible for all return shipping costs.
The return must be initiated within 30 days of delivery.

6.2 Refund Method and Timeline

Approved refunds will be issued to the original payment method within 5-7 business days of receiving and inspecting the returned unit.

6.3 Defective Units

If your unit arrives defective or fails within the first 30 days of delivery, please contact us to determine whether a refund or warranty replacement is the appropriate path. We will work with you to resolve the issue as quickly as possible.

6.4 After 30 Days

Refunds are only available during the first 30 days. After 30 days, only warranty service applies. Please refer to Section 7 for warranty details.

7. Warranty

All Newlander Life Sciences products are covered by a 2-year manufacturer's warranty from the date of purchase.

7.1 What Is Covered

During the warranty period, we will repair or replace the product at our discretion if it is found to have defects in materials or workmanship under normal use.

7.2 What Is Not Covered

This warranty does not cover damage caused by misuse, accidents, unauthorized modifications, or normal wear and tear.

7.3 Additional Terms

This warranty covers repair or replacement only. The determination between repair and replacement is made at the sole discretion of Newlander Life Sciences.
Refunds are not available under this warranty. Refunds are only available under our 30-day satisfaction guarantee.
This warranty is non-transferable and applies only to the original purchaser.
The customer is responsible for shipping costs to return the unit for warranty service. Newlander Life Sciences will cover return shipping on all repaired or replaced units.

7.4 Service Timeline

Warranty claims are typically resolved within 10-15 business days of receiving the unit at our facility, depending on the nature of the issue.

7.6 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH ABOVE, NEWLANDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Software License and Use

8.1 License Grant

Purchase of a Newlander instrument includes a limited, non-exclusive, non-transferable license to use the accompanying software solely in connection with the purchased hardware for your internal laboratory operations.

8.2 Restrictions

You may not reverse-engineer, decompile, sublicense, resell, or redistribute Newlander software. You may not use the software in any manner that violates applicable law.

8.3 Software Updates

Newlander may provide software updates, improvements, and new features. Some updates may be included at no charge; others may require an active software subscription. We reserve the right to discontinue support for older software versions with reasonable notice.

8.4 Regulatory Compliance (21 CFR Part 11)

Newlander's software includes features designed to support compliance with 21 CFR Part 11 requirements, including audit trails and electronic records. However, it is the customer's responsibility to validate the software for their specific regulated use, implement appropriate procedural controls, and ensure overall compliance within their quality system. Newlander's documentation support does not constitute a regulatory compliance guarantee.

9. Intellectual Property

All content on newlanderlifesciences.com â€” including text, images, software, trademarks, and product designs â€” is the property of Newlander Life Sciences LLC or its licensors and is protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEWLANDER LIFE SCIENCES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR PRODUCTS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Newlander Life Sciences LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from your use of our products or services, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of [State], United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in [City, State].
